Amazon Shop & Earn Programme Terms

The Amazon Shop & Earn Programme (“Programme”) enables you to offer Promotions in the form of Rewards to eligible Amazon customers. A “Promotion” is a deal or incentive you configure and make available to eligible customers. When a customer completes an Action (“Action” meaning any customer activity that meets the requirements you set for a customer to activate a Promotion), we will issue a Reward to the customer. A “Reward” can be any value provided to the customer, such as an Amazon.com Gift Card. Rewards are subject to the applicable Amazon Gift Card Terms and Conditions, Policies, and Specifications.

We may make a Programme Dashboard available to you, which will be a self-service tool and reporting interface to facilitate Promotion management, performance reporting, and account administration. The Programme Dashboard is provided “as-is” without any representation or warranty regarding availability, accuracy, completeness, or fitness for a particular purpose. You are fully responsible for all information, instructions and configurations made or submitted to your Programme Dashboard, including Reward value amounts, limits, thresholds, rules, exceptions, etc. Amazon will not be responsible for any errors or omissions made to your Programme Dashboard. You will not misrepresent the value or terms of any Promotion or Reward.

Should you choose to provide “Catalogue Data” (meaning product or service information, including product names, descriptions, images, pricing, availability, categories, and other product or service attributes) to us in connection with this Programme, you represent and warrant that you hold, and hereby grant to Amazon, all licences and rights necessary for Amazon to use, reproduce, publish, distribute, transmit, perform, and display such Catalogue Data.

You will defend, indemnify, and hold harmless Amazon, its affiliates, and each of our and their respective officers, directors, employees, agents, successors, and assigns against all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) (collectively “Losses”) arising from or relating to any Catalogue Data, including any actual or alleged infringement or misappropriation of any intellectual property rights by any Catalogue Data.

We may remove or refuse any Catalogue Data at any time, in our sole discretion and without liability.

We may decide to temporarily or permanently stop displaying or promoting your Promotions, or allowing customers to activate Promotions, at any time and for any reason.

You agree to pay us the “Reward Costs”, or the total face value amounts necessary to fund the Rewards, for all Rewards we issue under your Promotions. Once a Reward is attached to a customer’s account, Rewards are irrevocable and you are responsible for the associated Reward Costs. Amazon will not be liable for Reward Costs in the event of a cancellation, refund or return unless Amazon, in its sole discretion, elects to assume such liability.

Unless otherwise expressly stated, in the event a customer seeks a refund, return, or cancellation of the products or services they procured from you, you are responsible for processing such refund, return, or cancellation. You will not charge any fees to customers in connection with their participation in this Programme, nor will you inflate the price of your products or services in connection with a Promotion or this Programme.

If you have an Amazon Pay Agreement (“APay Agreement”), Reward Costs will be deducted from amounts Amazon would otherwise remit to you in accordance with Section 4.5 of your APay Agreement. In the event of insufficient funds to pay Reward Costs from sales proceeds, Section 5.2 of your APay Agreement may apply, as applicable.

We may, in our sole discretion, void or reject the redemption of any Reward suspected to be associated with fraud, deception, data breach, account compromise, or other improper conduct (a “Security Incident”). We have no obligation to redeem, replace, monitor, or investigate Rewards that are lost, stolen, misappropriated, or associated with a Security Incident, nor to provide any information about their use or redemption.

We may discontinue or modify the Programme at any time and for any reason.
